These Terms of Service ("Terms") are a legally binding agreement between you and MatchedU, Inc., a Delaware corporation ("MatchedU," "we," "us," or "our"). By creating an account, accessing, or using the MatchedU platform at app.matched-u.com and related services (together, the "Platform"), you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, do not use the Platform. If you are using the Platform on behalf of an organization (such as a university or athletics department), you represent that you have the authority to bind that organization to these Terms.
You must be at least 18 years old to use the Platform. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
The Platform is designed for college athletics professionals in the United States, including coaches, directors of operations, and other athletics department staff involved in game scheduling.
MatchedU is a platform that helps college athletics programs find and schedule non-conference games. The Platform provides tools for:
MatchedU is a communication and analysis tool. We do not act as an agent, broker, or representative for any team or institution. Any games scheduled through the Platform are agreements between the participating institutions, not with MatchedU. We are not a party to any game agreement reached through the Platform.
You retain ownership of all content you create, upload, or submit through the Platform ("User Content"), including game postings, negotiation messages, profile information, and scheduling preferences.
By submitting User Content, you grant MatchedU a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, store, reproduce, and transmit your User Content solely as necessary to operate, maintain, and improve the Platform. This license continues for as long as your content remains on the Platform and for a reasonable period afterward to allow for data retention as described in our Privacy Policy.
You are solely responsible for the accuracy and legality of your User Content. You represent that you have the right to submit all content you provide and that your content does not violate any third party's rights or any applicable law.
MatchedU has the right, but not the obligation, to review, remove, or disable access to any User Content that we believe violates these Terms or is otherwise objectionable. We are not responsible for monitoring all User Content.
You agree not to use the Platform to:

The Platform, including its design, code, features, algorithms, statistical models, branding, and documentation, is owned by MatchedU, Inc. and protected by copyright, trademark, and other intellectual property laws. "MatchedU" and the MatchedU logo are trademarks of MatchedU, Inc.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose, subject to these Terms. This license does not include the right to:
The Platform integrates with third-party services including Google Maps, ESPN, and others described in our Privacy Policy. These services are governed by their own terms and privacy policies, which we do not control.
The Platform displays publicly available data such as team schedules from ESPN, NET rankings, and coaching staff information from university athletics websites. We make reasonable efforts to keep this data accurate but do not guarantee its completeness or timeliness.
If your contact information appears in our coaching staff directory and was collected from a public university website, you may request its removal by contacting us at support@matched-u.com.
The Platform includes AI-powered features, such as schedule optimization analysis, that use third-party artificial intelligence services to generate insights and recommendations.

The Platform is currently provided free of charge. MatchedU reserves the right to introduce paid features or subscription tiers in the future. If we do, we will provide at least 30 days' advance notice before any charges apply to your account, and you will have the option to accept or decline the paid features.
You may stop using the Platform at any time. To delete your account and associated data, contact us at support@matched-u.com.
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
Upon termination, your right to use the Platform ceases immediately. We will handle your data in accordance with our Privacy Policy. The following sections survive termination: User Content (license grant), Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, MatchedU disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, MatchedU does not warrant that:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATCHEDU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
IN NO EVENT SHALL MATCHEDU'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE TOTAL FEES YOU HAVE PAID TO MATCHEDU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless MatchedU, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
Before filing any formal proceeding, you agree to try to resolve the dispute informally by contacting us at support@matched-u.com. We will try to resolve the dispute within 30 days. If the dispute is not resolved within 30 days, either party may proceed as described below.
You and MatchedU agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if they qualify.
Arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND MATCHEDU AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction in those courts.
We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will notify you by email or through a prominent notice on the Platform before the changes take effect.
Your continued use of the Platform after updated Terms take effect constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform.
